A virtual Annual General Meeting (AGM) works the same way as a physical AGM, and the only difference is that it is conducted fully online. Shareholders or participants can gather and meet virtually to learn and understand your Company’s financial performance, strategies and future plans.

With the ongoing COVID-19 situation, virtual AGM can ensure safe distancing, a good alternative to the way we conduct meetings as information will be shared and shareholders can ask questions and vote easily, ensuring that the AGM runs smoothly and orderly.

All the notices of general meeting of issuers must be published on SGXNET. The notices convening general meetings must be sent to shareholders and members at least 14 or 21 calendar days prior the virtual general meetings. The issuer must also give instructions to shareholders or members on how they may access the general meeting, submit their questions and cast their votes. For the conduct of meeting, the electronic means must allow shareholders and members to contemporaneously observe the proceedings of meeting by audio and video means. After the meeting, the issuer must publish minutes within one month on SGXNET.

From 1 October 2020, issuers or listed companies are also encouraged to engage shareholders or members through real-time Q&A and real-time voting during virtual meetings. For more information, you may visit HERE for the SGX’s guidelines.

The cost will vary, depending on the specific requirements by clients. For example, some factors that may affect the cost will include whether an on-site moderator or production crew is required etc. However, SGX is currently offering an AGM Facilitation Grant to provide funds to help listed companies defray the costs of holding virtual AGMs. SGX is providing up to S$5,000 per company to all qualifying Mainboard and Catalist companies. During the entire meeting, leave the overall IT backend support to us, as we aim to provide a hassle-free experience for your Board and the management.

Yes, our project manager/executive can assist the Directors and Management on-site to set up the computers as well as to test the build-in camera and microphone. If additional equipment is required, such as external videocam, microphones, lightings and monitors etc, arrangements will be made and additional charges may apply.
